Effective upon digital acceptance by the Agent, Broker, or FSBO Seller below

1. Parties

This Agreement is entered into between Axios Group TC, a California DBA, DRE License #01929750 ("TC Company," "we," "our") and the licensed real estate agent, broker, or FSBO seller identified in the sign-up form below ("Client"). Services are provided exclusively within the State of California. Both parties agree to be bound by the terms and conditions set forth herein.

2. Scope of Services

Axios Group TC agrees to provide professional transaction coordination services as selected by the Agent, which may include: contract-to-close coordination, deadline and contingency tracking, communication with escrow, title, lenders and cooperating agents, document management, compliance review, and post-close client follow-up automation including birthday emails, sale anniversary reminders, and review request campaigns. The specific services rendered for each transaction will be governed by the intake form submitted by the Agent at the time of each transaction.

3. Agent Responsibilities

Agent agrees to: (a) provide complete and accurate information on each transaction intake form; (b) submit all required executed documents in a timely manner; (c) respond to requests for information or instructions within one business day; (d) remain the licensed responsible party for all real estate services and client relationships; (e) provide current client contact information including birthdate and closing date for post-close automation purposes. The TC Company does not represent clients and does not provide real estate brokerage services.

4. Fees & Payment

Fees are determined by the plan selected at the time of enrollment and the transaction type as follows: (a) Standard Residential: $595 per side; (b) Enhanced Services: $1,000 per file; (c) FSBO Coordination: starting at $1,500 per file, with an optional MLS entry without agency add-on of $450 in select California MLSs; (d) Commercial Transactions: 4% of the agent's gross compensation for the transaction or $2,500, whichever is greater. The applicable Commercial fee shall be calculated based on the agent's compensation as stated in the executed commission agreement and is due at close of escrow. FSBO Per-transaction fees are due at the time of file submission or at close of escrow as agreed. Monthly Retainer (Option B) fees consist of a $200 base fee billed on the first of each month plus $450 per closed transaction file, with a minimum 3-month commitment. The base fee is non-refundable upon commencement. Per-file fees under the retainer plan are invoiced at close of escrow. Team and brokerage pricing is set forth in a separate addendum. All fees are non-refundable once file coordination has commenced. Invoices unpaid after 14 days are subject to a 1.5% monthly late charge.

5. Confidentiality

Axios Group TC agrees to hold all transaction information, client data, and agent information in strict confidence and will not disclose such information to third parties except as required to complete coordination services (title, escrow, lender) or as required by law. Agent grants permission to use transaction data in aggregate, anonymized form for internal reporting purposes only.

6. Limitation of Liability

Axios Group TC is not responsible for the actions or omissions of escrow officers, lenders, title companies, or other third parties. Axios Group TC's total liability under this Agreement shall not exceed the fees paid for the specific transaction giving rise to any claim. Axios Group TC does not guarantee closing timelines or transaction outcomes.

7. Termination

Either party may terminate this Agreement with 14 days written notice. Open files at the time of termination will be completed at the agreed fee. Monthly Retainer agreements carry a minimum 3-month commitment. After the initial term, either party may cancel with 30 days written notice. Early termination within the 3-month period will result in the remaining monthly base fees becoming due. Termination does not relieve Agent of outstanding payment obligations.

8. Independent Contractor Status

Axios Group TC is an independent contractor and not an employee, partner, or agent of the Agent or Broker. Nothing in this Agreement shall create an employment relationship. Axios Group TC is responsible for its own taxes, insurance, and compliance.

9. Marketing & Automation Consent

By enrolling, Agent consents to: (a) receive service-related communications via email; (b) have Axios Group TC send automated birthday, anniversary, and review request emails on Agent's behalf to Agent's clients using the contact data provided; (c) have Agent's profile used in internal performance reporting. Agent may opt out of any automated campaign at any time via their dashboard settings.

10. Governing Law

This Agreement shall be governed by the laws of the State of California. Services are provided exclusively within the State of California. Axios Group TC operates under California DRE License #01929750. Any disputes shall be resolved through binding arbitration in the county where the Agent's primary brokerage is located.

10b. CATC Code of Ethics Compliance

Axios Group TC is a member of the California Association of Transaction Coordinators (CATC) and operates in accordance with the CATC 2024 Code of Ethics and Standards of Practice. This includes: (a) maintaining strict client confidentiality; (b) never engaging in any activity related to wire instructions; (c) prioritizing the fiduciary duty agents owe to their clients; (d) following DRE Guidelines for Unlicensed Assistants where applicable; (e) maintaining Errors & Omissions insurance coverage; (f) conducting all activities with professionalism, fairness, and respect for all parties. A copy of the CATC Code of Ethics is available upon request.

11. Entire Agreement

This Agreement, together with the selected plan description and any transaction-specific addenda, constitutes the entire agreement between the parties and supersedes all prior representations, warranties, or understandings. Amendments must be in writing and signed by both parties.
